Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 27, 2024, the Company and Frederic Vanderhaegen, the Company’s former Executive Vice President, Europe, and a named executive officer in the Company’s definitive proxy statement on Schedule 14A filed on March 29, 2024, agreed that Mr. Vanderhaegen would depart from the Company on June 30, 2024.
