ITEM 5.02. DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS, ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS.

On September 4, 2024, Craig Herman, our Chief Revenue Officer, announced his resignation effective September 20, 2024, to pursue a new opportunity outside of the biometrics industry. “Craig has made significant contributions during his time with us, particularly in enhancing and streamlining our sales processes, and we are grateful for his efforts,” said Bob Eckel, CEO and President of Aware, Inc. Mr. Herman will be working closely with Bob Eckel on the transition, with Mr. Eckel providing interim leadership.
