Item 1.01 Entry into a Material Definitive Agreement
Registration Rights Agreement
On July 11, 2024, Babcock & Wilcox Enterprises, Inc. (the “Company”) entered into a registration rights agreement (the “Registration Rights Agreement”) with B. Riley Securities, Inc. (“B. Riley”). Pursuant to the Registration Rights Agreement, we have agreed to provide B. Riley with customary demand registration rights for all shares of our common stock they beneficially own, including any common stock issuable upon the exercise of any warrants that may be issued to them under the fee and reimbursement agreement, made by B. Riley and accepted and agreed to by the Company (the “Fee Agreement”). The Fee Agreement was entered into in connection with the guaranty agreement provided by B. Riley pursuant to the terms of the Company’s previously disclosed Credit Agreement among the Company, its subsidiaries, and Axos Bank, as Administrative Agent, Swingline Lender and L/C Issuer, dated as of January 18, 2024.
