(b) Retirement of Director

Bank of Marin Bancorp ("Company") (Nasdaq: BMRC) has announced that Directors, Mr. William McDevitt and Mr. Sanjiv Sanghvi notified the Company on February 19, 2025, that each will serve out their current term for Director until the Company's 2025 Annual Meeting of Shareholders, but will not stand for re-election at such meeting. Currently, the Company anticipates reducing the size of the Board by two members effective as of the 2025 Annual Meeting of Shareholders. In connection with Mr. Sanghvi's determination to not stand for re-election, the Company expects the previously disclosed cooperation agreement with certain shareholders who nominated Mr. Sanghvi as their representative will terminate without extension.
