Item 7.01 - Regulation FD Disclosure

On December 15, 2021, Bank of the James Financial Group, Inc. (the “Company”) issued a press release announcing that the Company has entered into an agreement to acquire Pettyjohn, Wood & White, Inc., an SEC-registered investment advisor based in Lynchburg, Virginia. A copy of the press release is attached hereto as Exhibit 99.1.

Consummation of the transaction is subject to the satisfaction of customary terms and conditions.
