Other Events.

 

On May 4, 2023, Banner Acquisition Corp., a Delaware corporation (the “Company”), issued a press release announcing that the Company expects to redeem all of its outstanding shares of Class A common stock, par value $0.0001 per share, effective as of the close of business on or around May 16, 2023, because the Company will not consummate an initial business combination within the time period required by its Amended and Restated Certificate of Incorporation. A copy of the press release is furnished herewith as Exhibit 99.1.
