Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; compensatory Arrangements of Certain Officers.
On February 28, 2025, Arnold Tinter resigned as a director and corporate secretary of the Company and its subsidiaries due to his desire to retire from active business pursuits. Such resignation was not a result of a disagreement with the Company. He served as chair of the Audit Committee, and also served on the compensation committee and nominating and corporate governance committee.
