Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(C) Effective January 5, 2026, Belden Inc. (the “Company”) named Brad Dineley as its Executive Vice President – Chief Digital and Operations Officer, a position with global responsibility, reporting to the Company’s Chief Executive Officer.

Mr. Dineley, 53, previously held the position of Vice President of Operations Excellence at TE Connectivity. Prior to this, Mr. Dineley held positions of increasing responsibility for the Schaeffler Group.

As an executive officer of the Company, Mr. Dineley will participate in the Belden Executive Severance Plan.
