Explanation of Responses:

1. Each Restricted Stock Unit ("RSU") represents the right to receive one share of Class A common stock, par value $0.0001 per share, of Altus Power, Inc. (the "Issuer"). The RSUs vest 50% on February 28, 2025 and 50% on February 28, 2026, subject to the Reporting Person's continued service to the Issuer through such date.
