Item 5.02. Departure of Directors or certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On November 21, 2024, E. Glen Nickle, the Chief Legal Officer of Beyond, Inc. (the “Company”), announced that he will retire from his position with the Company, effective December 31, 2024, at which time Mr. Nickle will transition to an advisory role. In consideration for his ongoing service and the execution of a release, in a form contemplated by the Company’s Key Employee Severance Plan (the “Plan”), Mr. Nickle will be entitled to receive severance benefits pursuant to the Plan, which was filed as an exhibit to the Company’s Current Report on Form 8-K filed on March 24, 2023.
