Item 8.01. Other Events

On October 27, 2024 (the “Effective Date”), Marcus Lemonis, Executive Chairman of the Board of Beyond, Inc. (the “Company”), entered into a Stock Purchase Agreement with the Company pursuant to which Mr. Lemonis agreed to purchase 156,985 shares of common stock from the Company at a price of $6.37 per share, representing the Company’s closing stock price on the latest trading day preceding the Effective Date. The stock purchase is expected to close on or about October 28, 2024, subject to customary closing conditions.
