Item 8.01 Other Events.

On October 7, 2025, the Board of Directors of Bio Green Med Solution, Inc. (the “Company”) declared a quarterly cash dividend of $0.15 per share on the Company’s 6% Convertible Exchangeable Preferred Stock (the “Preferred Stock”). The dividend is payable on November 1, 2025, to Preferred Stock stockholders of record as of the close of business on October 20, 2025.
