Item 2.02 Results of Operations and Financial Condition.
On March 3, 2026, Black Rock Coffee Bar, Inc. (the “Company”) announced its financial results for the three months and year ended December 31, 2025. The full text of the press release issued by the Company in connection with the announcement is furnished as Exhibit 99.1 to this Current Report on Form 8-K (this “Current Report”).

Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On February 25, 2026, the Company received notice from Messrs. Bryan Pereboom and Jake Spellmeyer, each members of the Company’s Board of Directors (the “Board”), of their decisions to resign from the Board effective immediately.
The decision of Messrs. Pereboom and Spellmeyer to retire was not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
