Explanation of Responses:

1. Represents performance share units awarded pursuant to the issuer's 2018 Equity Incentive Plan for which performance criteria has been satisfied that entitle the reporting person to receive one share of the issuer's common stock per performance share unit upon vesting. The performance share units vest 1/3rd on February 13, 2024 and 1/12th per quarter over the following eight quarters commencing on May 15, 2024, subject to continued service through each applicable date.

2. Represents the number of shares withheld to satisfy the reporting person's tax obligations in connection with the vesting of performance share units.
