SECTION 1 - REGISTRANT’S BUSINESS AND OPERATIONS
Item 1.01 Entry into a Material Definitive Agreement
On May 1, 2025 (the “Effective Date”), Brinker International, Inc. (the “Company”) and certain of its subsidiaries entered into a Fourth Amendment (the “Fourth Amendment”), which amends the Company’s Credit Agreement dated as of August 18, 2021 (as heretofore amended, the “Existing Credit Agreement”; the Existing Credit Agreement as amended by the Fourth Amendment, the “Amended Credit Agreement”) with a with a group of banks for which JPMorgan Chase Bank, N.A. is acting as administrative agent (the “Administrative Agent”), which governs the Company’s existing $900 million revolving credit facility (the “Credit Facility”). Capitalized terms not defined in this description shall have the meanings given them in the Existing Credit Agreement.
The Fourth Amendment provides for the following changes to the Existing Credit Agreement:
•An increase in the Credit Facility by $100 million to an aggregate amount of $1,000 million.
•Repricing of loans to provide for revolving loans at a rate equal to Term SOFR + 1.25% to 2.00%, with stepdowns at debt to cash flow ratios at 3.00x, 2.00x and 1.00x.
•An extension of the maturity date to May 1, 2030.
