Item 8.01. Other Events.

In connection with its planned separation into two independent, publicly traded companies, Brooks Automation, Inc. (the “Company”) previously announced that David E. Jarzynka will be named Chief Executive Officer of the new semiconductor automation company upon the separation. On August 19, 2021, Mr. Jarzynka informed the Company that for personal reasons he has decided to withdraw as incoming Chief Executive Officer of the new semiconductor automation company. Mr. Jarzynka remains in his current role with the Company as the President of the Semiconductor Solutions Group business.
