Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 9, 2024, James C. Hays notified the Board of Directors (the “Board”) of Brown & Brown, Inc. (the “Company”) of his decision to resign from the Board and as a member of the Board’s Acquisition Committee, effective immediately. Mr. Hays’ decision to resign from the Board was not due to any disagreement with the Company relating to operations, practices or policies.
