Item 8.01. Other Events.
On November 12, 2025, Brunswick Corporation (the “Company”) issued a press release announcing that it has commenced a tender offer to purchase for cash
an aggregate principal amount of up to $50 million (the “Tender Cap”) of its outstanding $300 million 5.100% Senior Notes due 2052. The tender offer is being made exclusively pursuant to an offer to purchase, dated November 12, 2025, which sets forth
the terms and conditions of the tender offer.
The press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated in this Item 8.01 by reference.
