(d) On November 20, 2024, the Board of Directors (the “Board”) of Burlington Stores, Inc. (the “Company”) elected Shira Goodman as a member of the Board effective as of January 1, 2025. Ms. Goodman was also appointed to serve as a member of the Audit Committee effective as of the same date.
In accordance with the Company’s standard independent, non-management director compensation program for 2024, Ms. Goodman will receive an annual retainer of $95,000 for Board service and an annual retainer of $18,000 for service as a non-chair member of the Audit Committee, as well as an annual restricted stock unit award with a grant date value of $170,000. The Company’s director compensation program is further described in the proxy statement for the Company’s 2024 annual meeting of stockholders under the caption entitled “Director Compensation.” There is no arrangement or understanding between Ms. Goodman and any other persons pursuant to which Ms. Goodman was selected as a director. There are no transactions in which Ms. Goodman has an interest requiring disclosure under Item 404(a) of Regulation S-K.
The public announcement regarding the election of Ms. Goodman was made by means of a press release on November 26, 2024, the text of which is set forth in Exhibit 99.1 to this Current Report on Form 8-K and which is incorporated herein by reference in its entirety.
