Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.
On April 16, 2025, Cambium Networks Corporation (the “Company”) received a deficiency letter (the “Notice”) from the Nasdaq Stock Market LLC (“Nasdaq”) notifying the Company that it is not in compliance with the requirements of Nasdaq Listing Rule 5250(c)(1) as a result of not having timely filed with the U.S. Securities and Exchange Commission its Form 10-K for the year ended December 31, 2024 (the “Form 10-K”). The Notice has no immediate impact on the listing of the Company’s ordinary shares on Nasdaq, and the Company’s listing remains fully effective. As a non-compliant company, an indicator reflecting the Company’s non-compliance will be broadcast over Nasdaq’s market data dissemination network and will also be made available to third party market data providers.
The Company has 60 calendar days from the date of the Notice to file the Form 10-K or to submit to Nasdaq a plan to regain compliance with the Nasdaq Listing Rule 5250(c)(1). If the Company submits a plan to Nasdaq and Nasdaq accepts the plan, Nasdaq can grant an exception of up to 180 calendar days from the due date of the filing of the Form 10-K, or until October 13, 2025, to regain compliance. If Nasdaq does not accept our plan, we would have the opportunity to appeal that decision to a Nasdaq Hearings Panel.
The Company intends to resolve the deficiency and regain compliance with the listing requirement.
On April 21, 2025, the Company issued a press release announcing its receipt of the Notice from Nasdaq. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated by reference herein.
