Item 5.02			Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 6, 2024, David C. Flanagan notified the Board of Directors of the Company (the “Board”) that he will retire from the Board and from the Board of Directors of Camden National Bank, effective May 1, 2024. Mr. Flanagan's decision to retire is not the result of any disagreement with management or the Board. Mr. Flanagan is a member of the Audit Committee and the Compensation Committee.
