1. Represents an award of restricted stock units (?RSUs?). Each RSU represents a contingent right to receive one share of the Issuer?s common stock. These RSUs vest in three substantially equal annual installments beginning February 22, 2027, subject to the Reporting Person's continuous service through each such date.

2. This option will vest in four substantially equal annual installments beginning February 22, 2027, subject to the Reporting Person's continuous service through each such date.
