Explanation of Responses:

1. Represents a grant of restricted stock units ("RSUs") that will vest over a four-year period. Subject to the Reporting Person's continued service through each of the applicable vesting dates, 1/4 of the RSUs shall vest on March 14, 2026 (the one-year anniversary of the grant date), and 1/16 of the RSUs shall vest quarterly in substantially equal installments thereafter.

2. Represents a grant of stock options (the "Options") that will vest over a four-year period. Subject to the Reporting Person's continued service through each of the applicable vesting dates, 1/4 of the Options shall vest on March 14, 2026 (the one-year anniversary of the grant date), and 1/16 of the Options shall vest quarterly in substantially equal installments thereafter.
