ITEM 5.02. DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS

On March 28, 2022, Zvi Limon resigned as a member of the Board of Directors (“Board”) of CEVA, Inc. (the “Company”), effective immediately. Mr. Limon’s decision to resign was based on his desire to have more time to pursue other professional interests, and was not the result of any disagreements with the Board or the Company on matters related to the Company’s operations, policies or practices. In connection with Mr. Limon’s resignation, on March 28, 2022, the Board voted to reduce the authorized size of the Board by one director to eight persons.
