1. The price reported in Column 4 is a weighted price. These shares were sold in multiple transactions at prices ranging from $7.75 to $7.90 per share. The reporting person undertakes to provide upon request by the issuer, any security holder of the issuer or the staff of the Securities and Exchange Commission full information regarding the number of shares sold at each separate price within the range set forth in this footnote to this Form 4.

2. The shares were granted pursuant to the Issuer's 2021 Equity Incentive Plan, as amended, and are subject to a three-year cliff vesting period. All of the shares vest on January 1, 2028.
