Explanation of Responses:

1. The transaction is a transfer of direct ownership of 18,472 shares of Common Stock, for no consideration, to the McDonnell Moore Living Trust.

2. The transaction is the receipt of 18,472 shares of Common Stock, for no consideration, in the transfer referenced in Footnote 1.

3. Shares are held by the McDonnell Moore Living Trust, of which Mr. McDonnell is one of the trustees. Mr. McDonnell disclaims beneficial ownership of any securities in which he does not have a pecuniary interest.
