Explanation of Responses:

1. The restricted stock award was granted on September 30, 2024. The award will vest as follows: (a) 60,000 shares will vest in three equal annual installments beginning June 5, 2025, and (b) 120,000 shares will vest upon the achievement of specified performance objectives.

2. Following all the transactions reported on this Form 4, the reporting person holds 1,199,956 shares directly.

3. Following all the transactions reported on this Form 4, the reporting person holds 12,282 shares indirectly through the Company's 401(k) plan as of October 1, 2024.
