On November 10, 2021, the Board of Directors of Chegg, Inc. (the “Company”) appointed Andrew Brown, 62, the Company’s Chief Financial Officer and Principal Financial Officer, as the Company’s Corporate Controller and Principal Accounting Officer, effective November 15, 2021, to serve until his successor is duly elected and qualified or until the earlier of his death, resignation or removal. Mr. Brown replaces Robin Tomasello, the Company's former Vice President, Corporate Controller, Assistant Treasurer, and Principal Accounting Officer, who resigned from her position, effective November 15, 2021, as previously disclosed in the Company's Current Report on Form 8-K filed with the Securities and Exchange Commission on October 22, 2021. Mr. Brown has served as the Company’s Chief Financial Officer since October 2011.

There are no family relationships between Mr. Brown and any of our directors or executive officers. There are no arrangements or understandings between Mr. Brown and any other persons pursuant to which Mr. Brown was appointed as the Company’s Principal Accounting Officer. Mr. Brown does not have a direct or indirect material interest in any transaction or any currently proposed transaction reportable under Item 404(a) of Regulation S-K.
