Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 13, 2025, Curtis V. Anastasio notified the Board of Directors (the "Board") of The Chemours Company (the "Company") of his decision not to seek re-election to the Board at the Company's 2025 Annual Meeting of Stockholders, when his current term expires. Mr. Anastasio's decision is not a result of any disagreement regarding the Company's operations, policies, or practices.
