Item 8.01. Other Events.

Chenghe Acquisition I Co. (the “Company”) originally convened an extraordinary general meeting of shareholders (the “Meeting”) for Monday, October 14, 2024, at 9:00 a.m., Eastern Time. The Meeting is being adjourned to 9:00 a.m., Eastern Time, on Wednesday, October 23, 2024. The adjourned Meeting will be held via live webcast at https://www.cstproxy.com/chengheacquisitioni/2024 to consider and vote upon the proposals described in the notice of extraordinary general meeting and definitive proxy statement filed by the Company with the Securities and Exchange Commission (“SEC”) on September 30, 2024 (the “Proxy Statement”).

The record date for the shareholders to vote at the Meeting remains the close of business on September 20, 2024 (the “Record Date”). Shareholders who have previously submitted their proxy or otherwise voted and who do not want to change their vote need not take any action. Shareholders as of the Record Date can vote, even if they have subsequently sold their shares. In connection with the adjourned date, the Company has further extended the deadline for holders of the Company’s Class A ordinary shares issued in the Company’s initial public offering to submit their shares for redemption in connection with the Extension Amendment Proposal to 5:00 p.m. Eastern Time on October 21, 2024 (two business days before the adjourned Meeting). Shareholders who wish to withdraw their previously submitted redemption request may do so prior to the rescheduled Meeting by requesting that the transfer agent return such shares.
