Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangement of Certain Officers.

On September 7, 2021, Ms. Sharon L. McCollam resigned from the board of directors (the “Board”) of Chewy, Inc. (the “Company”) and the Audit Committee of the Board, effective as of September 8, 2021. Ms. McCollam’s resignation was not the result of any disagreement with the Company. The Company thanks Ms. McCollam for her service to the Company and its stockholders.

In connection with Ms. McCollam’s resignation, on September 8, 2021, James Nelson, currently a member of the Board, was appointed as Chair of the Board’s Audit Committee.
