On May 7, 2025, David Reeder notified Chewy, Inc. (the “Company”) that he will be resigning from his position as the Company’s Chief Financial Officer and principal financial officer, effective as of a date to be determined, to return to the semiconductor industry as a Chief Executive Officer. Mr. Reeder’s resignation was not a result of any disagreement with the Company on any matter related to its operations, policies, practices, financial disclosures, or accounting matters.

On May 12, 2025, the Company issued a press release reaffirming its previously announced first quarter fiscal 2025 guidance and regarding the matters described above. A copy of the press release is attached hereto as Exhibit 99.1 and incorporated herein by reference.
