1. The shares of common stock of the Company underlying these restricted stock units will be delivered upon a separation from service or change in control of the Company, as set forth in the applicable award agreement.

2. Each restricted stock unit represents a contingent right to receive one share of the Company's common stock.

3. The number of securities beneficially owned has been updated to reflect the 1-for-20 reverse stock split effected 12/20/2023 as disclosed in the Company's Form 8-K dated 12/27/2023.

4. This restricted stock unit award was granted on 11/29/2021 and vested in three equal annual installments beginning on 11/29/2022, subject to the reporter's continued service with the Company through each vesting date. Vested units will be delivered in shares of common stock upon a separation from service or a change in control of the Company, as set forth in the applicable award agreement.
