Explanation of Responses:

1. The transaction reported in this Form 4 was effected pursuant to a Rule 10b5-1 trading plan adopted by the reporting person on September 15, 2023, at least ninety days prior to the trading date.

2. These shares were sold in multiple transactions at prices ranging from $21.89 to $22.62 inclusive. The reporting person will provide to the Commission, the Issuer, and any stockholder, upon request, full information regarding the number of shares purchased or sold at each separate price.
