Explanation of Responses:

1. Reflects a "sell to cover" transaction to cover withholding taxes due in connection with the Company's delivery to the reporting person of shares in settlement of restricted stock units, the vesting of which was previously reported on a Form 4 filed July 31, 2024. This "sell to cover" transaction in order to satisfy tax obligations does not represent a discretionary transaction by the reporting person.

2. The price represents the weighted average sales price of the shares that were sold in multiple transactions at prices ranging from $27.175 to $27.560. The reporting person undertakes to provide to the Company, any security holder of the Company or the SEC, upon request, full information regarding the number of shares sold at each separate price.

3. The price represents the weighted average sales price of the shares that were sold in multiple transactions at prices ranging from $27.52 to $27.65. The reporting person undertakes to provide to the Company, any security holder of the Company or the SEC, upon request, full information regarding the number of shares sold at each separate price.
