Explanation of Responses:

1. Represents time-based vesting Restricted Stock Units ("RSUs") issued under the ANSYS, Inc. 2021 Equity and Incentive Compensation Plan which RSUs will vest one third upon the first anniversary of the Grant Date and the remaining two thirds in eight equal installments on a quarterly schedule, with the final vesting to occur upon the third anniversary of the Grant Date.
