Explanation of Responses:

1. The securities awarded are in the form of restricted stock units (RSUs) that each represent a contingent right to receive one share of the issuer's common stock. Subject to the reporting person's continued service through the vesting dates, 25% of the RSUs will vest on each of April 1, 2025, April 1, 2026, April 1, 2027 and April 1, 2028.

2. Amount shown (i) reflects the amount of securities beneficially owned by the reporting person as of the date this Form 4 is filed and (ii) reflects an adjustment to correct a previously reported inadvertent overstatement of the number of securities beneficially owned.
