1. Restricted stock units ("RSUs") awarded under the Issuer's 2021 Long Term Incentive Plan. Each RSU represents the contingent right to receive, upon vesting of the RSU, one share of the Issuer's Class A common stock, $0.0001 par value ("Class A Common Stock"). |
2. The sales reported in this Form 4 represent shares required to be sold by the Reporting Person to cover tax withholding obligations in connection with the vesting and settlement of RSUs pursuant to the Issuer's mandatory sell to cover policy, which requires sales in an amount sufficient to cover tax withholding obligations associated with the vesting events, and do not represent discretionary trades by the Reporting Person. The price reported in column 4 is a weighted average price. These shares were sold in multiple transactions ranging from $3.52 to $3.652, inclusive, pursuant to the Reporting Person's 10b5-1 trading plan adopted on September 28, 2023.
