Explanation of Responses:

1. Represents a contingent grant of restricted stock units to the reporting person on December 20, 2024 that was subject to shareholder approval of the Dave & Buster's Entertainment, Inc. 2025 Omnibus Incentive Plan (the "Plan") at the annual meeting of shareholders of Dave & Buster's Entertainment, Inc. (the "Issuer") held on June 18, 2025. The restricted stock units will vest in three equal annual installments on each of December 20, 2025, 2026 and 2027.

2. Represents a grant of restricted stock units that will vest in three equal annual installments on each of April 24, 2026, 2027 and 2028.

3. Represents a contingent stock option granted to the reporting person on December 20, 2024 that was subject to shareholder approval of the Plan at the annual meeting of shareholders of the Issuer held on June 18, 2025. The shares underlying this stock option will vest and become exercisable in three equal installments on each of December 20, 2025, 2026 and 2027, as long as the reporting person is providing services to the Issuer on such dates.

4. The shares underlying this stock option will vest and become exercisable in three equal installments on each of April 24, 2026, 2027 and 2028, as long as the reporting person is providing services to the Issuer on such dates.
