Explanation of Responses:

1. The Reporting Person was granted restricted stock units ("RSUs"), which represent a contingent right to receive one share of Common Stock for each RSU. RSUs vest with one year cliff and the remainder vesting quarterly in 12 substantially equal installments thereafter, subject to the reporting person's continuous service as of each vesting date and subject to acceleration upon certain events.
