Explanation of Responses:

1. Represents restricted stock units granted under the Microvast Holdings, Inc. 2021 Equity Incentive Plan. Each restricted stock unit represents a contingent right to receive one share of the Issuer's common stock. The restricted stock units vest in equal installments on each of December 31, 2025, 2026 and 2027.

2. Represents shares of the Issuer's common stock earned in respect of performance stock units, as certified by the Compensation Committee of the Board of Directors of the Issuer on January 23, 2023 based on achievement of the applicable performance conditions over the applicable performance period.
