As previously announced, on July 25, 2024, ChoiceOne Financial Services, Inc. (“ChoiceOne”) and Fentura Financial, Inc. (“Fentura”) entered into an Agreement and Plan of Merger (the “Merger Agreement”). The Merger Agreement provides that, upon the terms and subject to the conditions set forth in the Merger Agreement, Fentura will be merged with and into ChoiceOne, with ChoiceOne continuing as the surviving corporation in the merger (the “Merger”). The Merger Agreement is described in more detail in ChoiceOne’s Current Report on Form 8-K filed with the U.S. Securities and Exchange Commission (the “SEC”) on July 25, 2024.
On February 12, 2025, the Board of Governors of the Federal Reserve System approved the Merger. Completion of the Merger remains subject to the satisfaction of certain customary closing conditions set forth in the Merger Agreement.
