Explanation of Responses:

1. On March 18, 2024, the Reporting Person converted an aggregate of $500,000 of the outstanding principal and $6,444.44 of the outstanding accrued interest, including $1,933.33 of tax withholding on interest earned, for a total sum payable of $504,501.11 under the Convertible Promissory Note issued by Issuer dated August 8, 2023. After giving effect to the conversion, as of the date of this Form 4, there are no outstanding in principal or in accrued interest outstanding under the Convertible Promissory Note.
