Item 7.01 Regulation FD Disclosure.

On May 22, 2023, Chord Energy Corporation (the “Company”) issued a press release announcing that a wholly owned subsidiary of the Company has entered into a definitive agreement to acquire assets in the Williston Basin from XTO Energy Inc. and affiliates, each a subsidiary of Exxon Mobil Corporation, for total cash consideration of $375 million. The Company expects closing to occur at the end of June 2023, subject to customary closing conditions. A copy of the press release is furnished as Exhibit 99.1 and is incorporated into this Item 7.01 by reference.
