On June 20, 2021, the Board of Directors (the “Board”) of Skillsoft Corp., a Delaware corporation (the “Company”), approved by unanimous written consent a change in fiscal year end of the Company from December 31 to January 31. The Board’s decision to change the fiscal year end better aligns the Company's fiscal year with the planning cycles of the Company.

Following such change, the date of the Company’s next fiscal year end is January 31, 2022.

(a) On June 18, 2021, the Company issued a press release announcing the Company’s filing of its Form 8-K with the U.S. Securities and Exchange Commission in connection with the completion of its business combination with Churchill Capital Corp II. (b) On June 21, 2021, the Company issued a press release announcing that the Company has launched marketing for a refinancing of a substantial amount of its long-term debt while repaying the remainder, the Company’s fiscal year change, and the Company’s comments on pro-forma first quarter fiscal year 2022 financial results reflecting the change to its fiscal quarter-end.
