Item 7.01 Regulation FD Disclosure.
On July 9, 2024, Cinemark Holdings, Inc. (“Cinemark Holdings”, or the “Company”,
or “we”, “us” or “our”) issued a press release announcing that Cinemark USA, Inc., a wholly-owned subsidiary of Cinemark Holdings, priced an offering of $500 million aggregate principal amount of its 7.0% Senior Notes due 2032 (the “Notes”) at the initial offering price of 100.000%
of the principal amount plus accrued and unpaid interest from July 18, 2024. The Notes were offered to persons reasonably believed to be qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”), and to certain non-U.S. persons
in accordance with Regulation S under the Securities Act. The offering of the Notes is expected to close on July 18, 2024, subject to customary closing conditions. A copy of this press release is being furnished as Exhibit 99.1 to this Current Report on Form 8-K (this
“Report”) and is incorporated herein by reference. The Notes and related guarantees are not and will not be registered under the Securities Act or the securities laws of any state or other jurisdiction, and the Notes and related guarantees may not be offered or sold in the United States without registration or an applicable exemption from such registration requirements of the Securities Act and applicable state securities or blue sky laws and foreign securities laws.
