Item 8.01 Other Events.

On February 28, 2025, the Board of Directors of Cineverse Corp. (the “Company”) approved the renewal of the previously approved stock repurchase program to purchase up to 500,000 shares of its outstanding Class A common stock, in addition to any shares previously repurchased. Acquisitions pursuant to the stock repurchase program may be made through a combination of open market repurchases in compliance with Rule 10b-18 promulgated under the Securities Exchange Act of 1934, as amended, privately negotiated transactions, and/or other transactions at the Company’s discretion. The stock repurchase program, which is subject to certain consents, will expire on March 31, 2026 unless otherwise modified by the Board at any time in its sole discretion.
