Item 7.01 Regulation FD Disclosure.
On June 13, 2025, Citizens Financial Group, Inc. (the “Company”) issued a press release announcing that its board of directors has increased the capacity of the Company’s common share repurchase program to $1.5 billion, an increase of $1.2 billion above the $300 million of capacity currently remaining under the prior June 2024 authorization.
The press release is attached hereto as Exhibit 99.1. The information furnished pursuant to this Item 7.01, including Exhibit 99.1, shall not be deemed "filed" for purposes of Section 18 of the Securities Exchange Act of 1934 (the "Exchange Act") or otherwise subject to the liabilities under that Section and shall not be deemed to be incorporated by reference into any filing of the Company under the Securities Act of 1933 or the Exchange Act.
