On October 25, 2024, CleanSpark, Inc. (the “Company”) held a special meeting of stockholders at which the Company’s stockholders approved an amendment to the Company’s First Amended and Restated Articles of Incorporation, as amended to date, to increase the number of shares of the Company’s common stock, par value $0.001 per share, authorized for issuance from 300,000,000 shares to 600,000,000 shares (the “Authorized Stock Increase”). The Company will file Articles of Amendment with the Secretary of State for the State of Nevada implementing the Authorized Stock Increase after receiving the final voting results.
