Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 20, 2024, Clearway Energy, Inc. (the “Company”) received a notice of resignation from Guillaume Hédiard, informing the Company of his intention to resign from the board of directors (the “Board”) of the Company effective as of the close of business on December 4, 2024. Mr. Hédiard’s resignation from the Board was not the result of any disagreement with the Company.

The Board has initiated a search process to find a replacement for Mr. Hédiard.
